Mark’s practice focuses on a variety of practice areas, including complex civil litigation, construction law, corporate law, intellectual property, and real estate law.
Complex Civil Litigation
Mark counsels clients through all phases of dispute resolution, including informal business-to-business negotiations, mediation, stipulated judgments and settlements, litigation in state and federal court, and arbitration in local, national, and international arbitration. His cases involve complex commercial disputes, including breach of contract, breach of fiduciary duty or corporate trust, civil theft, construction defects, corporate fraud, environmental contamination, foreclosures, fraudulent transfers, insurance coverage, landlord-tenant, mechanics’ liens, and real estate.
Construction Law
Mark helps construction professionals navigate all stages of a construction project, including bidding, contracting, financing, design, construction, and resolution of project disputes. He works with contractors, owners, subcontractors, and suppliers to negotiate agreements, structure proposed transactions, mitigate risk, file and foreclose mechanics’ liens and evaluate and resolve disputes in state court, federal court, and arbitration. His experience includes residential and commercial construction projects, including multi-family, commercial buildings, industrial facilities, maintenance structures, mining infrastructure, and school construction.
Corporate Law
Mark helps his business clients achieve their strategic goals, whether starting businesses, funding businesses, running businesses, or selling businesses. He helps clients with entity formation, corporate governance, tax planning, mergers and acquisitions, asset sales, stock issuances, private placements, financing, and debt or equity offerings. Mark also assists clients by negotiating and drafting loan and financing documents, security agreements, employment agreements, and non-compete and non-disclosure agreements. His transactional experience spans multiple industries, including advertising, construction, ERP solutions, manufacturing, distribution, mining, and software development.
Intellectual Property Law
Mark helps clients with trademark, copyright, and patent-related matters in different fields, including information technology, software, advertising, product manufacturing, product distribution, and merchandising. In the technology field, he assists clients with drafting and negotiating license agreements, including development agreements, professional services agreements, and Software as a Service (SaaS) agreements. In the products manufacturing and construction fields, he helps clients implement contracting standards and forms, negotiate distribution agreements, and draft risk management documents. He collaborates with clients in the development of product warranties and claims procedures and in the protection of intellectual property rights through mediation and litigation.
Real Estate Law
Mark assists clients with their residential and commercial real estate needs, including residential and commercial purchase and sale agreements, all phases of due diligence (including property inspections, survey, and title review), financing, leasing, and closing. He also helps borrowers and lenders with negotiating and drafting loan documents, security instruments, and related transactional documents. In addition, he guides property owners, lenders, landlords, and tenants through eviction proceedings, public trustee foreclosure actions, and creditor rights in bankruptcy proceedings.
