Overview
Matt works with entrepreneurs and emerging growth companies on a range of corporate legal matters, with an emphasis on M&A and venture capital and private equity financing transactions.
Mergers + Acquisitions
Matt represents startups, closely held businesses, private equity, and large private companies in complex M&A transactions of all sizes, including several transactions valued at more than $1 billion, having worked on hundreds of company sale transactions throughout his career. He has assisted buyers and sellers across a variety of industries, including biotechnology, pharmaceuticals, medical devices, clean energy, technology, software, entertainment, sports, engineering, and other professional services.
Venture Capital + Private Equity
Matt has an active investor-side venture capital practice representing various early-stage venture capital funds in their portfolio company investments. He also advises clients on related corporate and contractual matters.
Relevant Experience
Matt is an Adjunct Professor of Practice at the University of San Diego School of Law, teaching a first-year transactional law class each Spring semester. Before joining BHGR, he practiced corporate law with California Counsel Group and Morrison & Foerster, each for more than 10 years, working on complex M&A and venture capital transactions, assisting entrepreneurs from idea to exit, and acting as outside general counsel to startups and emerging growth companies. Also, while at Morrison & Foerster, he developed technology-assisted, internal drafting tools for various startup documents used by the firm’s emerging company practice group across several offices.

At Morrison & Foerster, Matt developed and led firm-wide attorney training sessions on topics such as managing and closing M&A and equity financing transactions, drafting definitive acquisition and financing agreements, and performing legal due diligence in acquisition and financing transactions.
Out + About
Outside of work, Matt enjoys spending time with his family, attending his daughters’ soccer and flag football games, playing in the ocean or the mountains, and watching his beloved San Diego Padres.
